PT Reasuransi Indonesia Utama (Persero) (“Indonesia Re”) is a Holding Company established under the laws and regulations of the Republic of Indonesia. The company was originally established under the name Perusahaan Perseroan (Persero) PT Asuransi Ekspor Indonesia, based on Government Regulation Number 23 of 1983 concerning the State Capital Participation of the Republic of Indonesia for the Establishment of a State-Owned Limited Liability Company (Persero) in the field of Export Credit Guarantees and Export Insurance.

The establishment was formalized in Deed Number 173 dated November 30, 1985, executed before Achmad Bajumi, S.H., Substitute Notary for Imas Fatimah, S.H., Notary in Jakarta. The latest amendment to the Company’s Articles of Association is contained in Notarial Deed No. 58 dated July 29, 2025, executed before Ashoya Ratam, S.H., M.Kn., Notary in Jakarta, and approved by the Minister of Law under Approval No. AHU-AH.01.09-0323353 dated August 11, 2025. Pursuant to the provisions of the Articles of Association, the Company was established for an indefinite period.

In accordance with Government Regulation Number 20 of 1983, PT Asuransi Ekspor Indonesia (Persero) operated in the insurance sector to support the development of non-oil and gas exports. Along with business growth and dynamics, the Company renewed its corporate identity by changing its name to PT Asei Reasuransi Indonesia (Persero) (“Asei Re”), based on Deed of Statement of Resolution of the General Meeting of Shareholders of PT Asuransi Ekspor Indonesia (Persero) Number 32 dated March 21, 2014, executed before Marthin Aliunir, S.H., Notary in Jakarta.

In addition to the name change, the Company also expanded its business activities to include reinsurance operations. Subsequently, the Company changed its name again to PT Reasuransi Indonesia Utama (Persero) (“Indonesia Re”), based on Deed Number 36 dated December 22, 2014, executed before Mrs. Sastriany Josoprawiro, S.H., Notary in Jakarta.

As part of efforts to strengthen the national reinsurance industry, the Government of the Republic of Indonesia, through the Ministry of State-Owned Enterprises, the Ministry of Finance, and the Financial Services Authority, formulated a strategic policy to increase domestic reinsurance capacity by establishing a National Reinsurance Company (PRN) through the consolidation of reinsurance companies in Indonesia. This policy aimed to reduce dependence on imported reinsurance capacity from abroad, thereby reducing the balance of payments deficit.

As a follow-up to this policy, the Government issued Government Regulation of the Republic of Indonesia Number 77 of 2015 concerning the merger of PT Reasuransi Umum Indonesia (Persero) into PT Reasuransi Indonesia Utama (Persero), thereby designating Indonesia Re as the National Reinsurance Company.

Furthermore, in implementing the strategic policy of the Government of the Republic of Indonesia regarding the restructuring of State-Owned Enterprise ownership and strengthening the role of SOEs as agents of national development, the Government issued Government Regulation of the Republic of Indonesia Number 15 of 2025 concerning Additional State Capital Participation of the Republic of Indonesia in the Share Capital of PT Biro Klasifikasi Indonesia (Persero).

Based on this Government Regulation, ownership of Series B shares in PT Reasuransi Indonesia Utama (Persero), which had previously been 100% owned by the Government of the Republic of Indonesia through Series A and Series B shares, was transferred so that all Series B shares became owned by PT Biro Klasifikasi Indonesia (Persero), as stipulated in Deed Number 23 dated April 17, 2025, executed before Ashoya Ratam, S.H., M.Kn., Notary in Jakarta, while the Series A shares remained owned by the Government of the Republic of Indonesia.

Subsequently, PT Biro Klasifikasi Indonesia (Persero) changed its name to PT Danantara Asset Management, as stated in Deed Number 58 dated July 29, 2025, executed before Ashoya Ratam, S.H., M.Kn., Notary in Jakarta. In addition, based on Law Number 16 of 2025 concerning the Fourth Amendment to Law Number 19 of 2003 on State-Owned Enterprises, the Ministry of State-Owned Enterprises, as the Company’s shareholder, also underwent a nomenclature change to become the State-Owned Enterprise Regulatory Agency (BP BUMN).

In connection with the implementation of the mandate of Law Number 16 of 2025 concerning the Fourth Amendment to Law Number 19 of 2003 on State-Owned Enterprises, and in order to standardize SOE management policies, BP BUMN and PT Danantara Asset Management as shareholders resolved to transfer share ownership and change the capital structure of SOEs, including PT Reasuransi Indonesia Utama (Persero).

The Shareholders subsequently approved these changes through the Joint Shareholders’ Resolution of PT Reasuransi Indonesia Utama (Persero) Number 26 of 2026 and Number SK.023/DI-DAM/D0/2026, which was formalized in Deed Number 06 dated February 4, 2026, executed before Ashoya Ratam, S.H., M.Kn., Notary in Jakarta. As a result, PT Reasuransi Indonesia Utama (Persero) is currently fully supported by the Government of the Republic of Indonesia as shareholder through Series A share ownership by BP BUMN and Series B share ownership by PT Danantara Asset Management.

Accordingly, PT Reasuransi Indonesia Utama (Persero) is currently fully supported by the Government of the Republic of Indonesia as shareholder through share ownership by BP BUMN and PT Danantara Asset Management, in order to strengthen Indonesia Re’s strategic role as the National Reinsurance Company.

As a State-Owned Enterprise (SOE) Reinsurance Company, Indonesia Re is mandated to provide reliable reinsurance protection, solutions, and services, supported by government policies, high-quality human resources, and continuously developed information technology systems.

Share Ownership

Pursuant to Article 1 paragraph (2) letter ag of Government Regulation of the Republic of Indonesia Number 15 of 2025, all Series B shares of PT Reasuransi Indonesia Utama (Persero), which were previously owned by the Government of the Republic of Indonesia c.q. the Ministry of State-Owned Enterprises (SOEs), have been transferred to PT Danantara Asset Management as the Operational Holding Company.

Furthermore, through the Joint Shareholders’ Resolution of PT Reasuransi Indonesia Utama (Persero) Number 26 of 2026 and Number SK.023/DI-DAM/D0/2026, formalized in Deed Number 06 dated February 4, 2026, executed before Ashoya Ratam, S.H., M.Kn., Notary in Jakarta, PT Reasuransi Indonesia Utama (Persero) is currently fully supported by the Government of the Republic of Indonesia as shareholder through Series A share ownership by BP BUMN and Series B share ownership by PT Danantara Asset Management.
